NXT FIGHT: Promoter Terms

Scope note. These Promoter Terms cover the Ticket Sales feature only. They take effect for you on the day Ticket Sales is enabled on your account, and they bind you from the first event on which you enable it. Nothing here applies to promoters who do not use Ticket Sales.

These Promoter Terms ("Promoter Terms") are a binding agreement between you (the "Promoter") and FYYTR Sports FZC LLC, operator of the NXT FIGHT platform ("NXT FIGHT", "we", "us"), governing your use of the Ticket Sales features of the Platform.

They are additional to our Terms of Service and Privacy Policy, which continue to apply. Where these Promoter Terms conflict with the Terms of Service in relation to Ticket Sales, these Promoter Terms prevail.

Please read section 3 carefully. It sets out what NXT FIGHT does and, more importantly, what it does not do.


1. Acceptance

By enabling Ticket Sales on any event, you accept these Promoter Terms. We record the version you accepted and the date and time of acceptance. If we materially change these Promoter Terms we will publish a new version and ask you to accept it again before you can continue using Ticket Sales.

2. Eligibility

Ticket Sales is available only to accounts with the Promoter role that have completed identity verification, including a valid UAE trade licence or equivalent. We may withhold or withdraw access to Ticket Sales at our discretion, including where we are not satisfied that you are lawfully entitled to sell tickets to the event in question.

3. What NXT FIGHT does, and does not do

This section is the foundation of the whole arrangement.

NXT FIGHT provides a record-keeping and distribution tool. We let you record your ticket inventory, allocate sales targets to fighters, generate sales links, collect customer orders, and see who sold what.

NXT FIGHT does not:

  • Sell tickets. You are the seller of every ticket. We are not a party to the contract between you and the customer, and we are not an agent, reseller, or box office.
  • Receive, hold, or transmit customer money. Customers pay you directly, using the payment details you supply. No customer funds ever pass through NXT FIGHT.
  • Issue the ticket. The order confirmation we send a customer is a record of their order, not an entry ticket. Supplying the official ticket or entry credential is yours.
  • Verify that payment was received. When you mark an order as paid, that is your confirmation, not ours. We record what you tell us.
  • Process refunds. When you mark an order as refunded, we update our records. Returning the money to the customer is yours to do, by the same means you received it.

You are the merchant of record for every ticket sold. All obligations that attach to selling a ticket, including consumer rights, tax, licensing and event delivery, are yours.

4. Your responsibilities

You are solely responsible for:

  • The event. Staging it, and everything that follows if it is postponed, relocated, or cancelled, including refunding customers.
  • Accurate inventory. Not selling more tickets through NXT FIGHT than you hold, and not double-selling inventory listed here through another channel.
  • Accurate payment details. The bank details you enter are shown to customers. You must keep them correct and current. We are not liable for money sent to details you supplied.
  • Prompt confirmation. Marking orders as paid, or cancelling them, within a reasonable time, so that inventory and fighter targets reflect reality.
  • Issuing tickets. Delivering the official ticket to every customer whose order you confirm.
  • Your refund policy. Publishing one, honouring it, and handling refund requests.
  • Lawful selling. Any permit, licence, tax registration, or regulatory approval your event or your ticket sales require.

5. Fighter sales links

You may allocate a sales target to any fighter on your event's card. Each allocation gets a unique link the fighter can share.

  • A fighter's link is public. Anyone holding it can buy against that allocation. Treat the allocation as a sales channel, not as a private invitation.
  • NXT FIGHT does not handle any commission, fee, or payment between you and a fighter. If a fighter is to be paid, rewarded, or charged for their allocation, that is entirely between you and them, settled off the Platform. We record only how many tickets each channel sold.
  • You may reassign a sale from one channel to another. We record every reassignment, including who made it and when, and the original attribution remains visible.

6. Payments

Customers pay you directly, by bank transfer, using the details you supply.

You acknowledge that:

  • No customer funds are held by, or pass through, NXT FIGHT.
  • We have no visibility of your bank account and cannot confirm whether a payment arrived.
  • Any dispute about whether a customer paid, or about the amount, is between you and that customer.

7. Platform fee

The platform fee is 5% of the value of all orders confirmed through NXT FIGHT.

  • The fee accrues at the moment you confirm an order as paid.
  • We invoice you for accrued fees periodically. Invoices are payable within 30 days.
  • Because we never receive customer money, the fee cannot be deducted at source. It is invoiced to you and paid by you.
  • The fee is not refundable. If you subsequently refund a customer, the platform fee on that order still stands and remains payable. The fee is earned when the sale is made.
  • Fees are stated exclusive of VAT. Where NXT FIGHT is registered for VAT, VAT is added at the prevailing rate and shown separately on a valid tax invoice.
  • We may suspend Ticket Sales on your account while an invoice is overdue.

8. Refunds and cancellations

  • Refund decisions are yours. Your published refund policy governs your relationship with the customer.
  • Marking an order as refunded in NXT FIGHT updates our records only. You must separately return the money to the customer.
  • We do not impose a deadline on recording a refund. You may record one at any time, including after the event has taken place, so that our records match what actually happened.
  • If your event is cancelled or materially changed, you are responsible for refunding customers in accordance with your policy and applicable law. Section 7 continues to apply.

9. Customer data

Customers buy without a NXT FIGHT account. We collect their name, email address and mobile number in order to record the order and send confirmations, and we share these with you so that you can issue tickets and provide support.

  • In respect of that customer data, you are an independent controller. You must handle it lawfully, use it only for fulfilling and supporting the ticket you sold, and comply with the UAE Personal Data Protection Law and any other applicable data protection law.
  • You must not use customer data for unrelated marketing without a lawful basis and, where required, consent.
  • Fighters see only their own sales counts and revenue. Customer contact details are shared with you, not with fighters.
  • Our handling of this data is described in our Privacy Policy.

10. Suspension and termination

We may suspend or withdraw access to Ticket Sales, with or without notice, where we reasonably believe you have breached these Promoter Terms, where an invoice is overdue, where there are unresolved customer complaints, or where we are required to do so by law.

Suspension does not relieve you of your obligations to customers who have already bought tickets, or of fees already accrued.

11. Liability

To the fullest extent permitted by law:

  • NXT FIGHT is not liable for the event itself, for tickets you fail to issue, for money a customer pays you, for refunds you owe, or for any dispute between you and a customer or between you and a fighter.
  • Our total aggregate liability to you in connection with Ticket Sales, in any twelve-month period, is limited to the total platform fees you paid us in that period.
  • You indemnify us against claims brought by customers, fighters, venues or authorities arising from your event, your ticket sales, or your breach of these Promoter Terms.

Nothing in this section limits liability that cannot lawfully be limited.

12. Changes

We may update these Promoter Terms. Material changes are published as a new version with a new effective date, and you will be asked to accept the new version before continuing to use Ticket Sales. Continuing to use Ticket Sales after accepting constitutes agreement.

13. Governing law

These Promoter Terms are governed by the laws of the United Arab Emirates and the Emirate of Sharjah, and the courts of Sharjah have exclusive jurisdiction, save that we may seek injunctive relief in any competent jurisdiction.
